1. Acceptance of Terms

Welcome to JOSHITECH SOFT CREATION. By accessing, installing, activating, or using our accounting software and services, you agree to comply with and be bound by these Terms and Conditions and the Software License Agreement. Payment, installation of the setup file, activation, or login to the software interface may constitute acceptance of these terms, subject to applicable law. If you do not agree, please do not use our software or services.

2. License and Usage

The "JOSHInJOSHI Software" is developed by JOSHITECH SOFT CREATION ("Developer") for single-device / single-user operation, unless otherwise agreed in writing.

The subscription license remains valid for a fixed period of 1 year (365 days) from the date of activation. Upon expiration, the license will deactivate automatically, rendering software interfaces, functionalities, and data displays inaccessible until the license is renewed. Prompt renewal is mandatory to prevent interruption to software access and data display.

We grant you a limited, non-exclusive, and non-transferable license to use our accounting software for your internal business purposes. You are not permitted to copy, modify, distribute, resell, sublicense, or reverse-engineer the software's core code or proprietary database structure without prior written permission, except where permitted by applicable law. Unauthorized use, reproduction, or distribution may result in license termination and legal action, subject to applicable law.

External API services integrated within the software, including but not limited to E-Way Bill, E-Invoice, Master Search, and WhatsApp, are charged separately based on actual consumption or usage.

• Recharging or maintaining balances for external API services does not extend or modify the validity of the core software license.
• API rates, usage charges, and availability may change without prior notice depending on government regulations, technical requirements, and third-party provider terms.
• Software license renewal does not automatically replenish API balances, and API recharge does not renew the core software license.

Unless otherwise agreed in writing, 100% upfront payment is mandatory for the software license and applicable services. Payments are generally non-refundable and non-transferable, except where otherwise required by applicable law or expressly agreed in writing.

3. Intellectual Property

All intellectual property rights in the software and related materials, including source code, program design, documentation, trademarks, logos, and other proprietary content, belong to JOSHITECH SOFT CREATION or their respective rights holders.

You may not use our trademarks, logos, content, source code, or other proprietary materials without prior written permission. Unauthorized copying, reselling, distribution, or reverse-engineering of the software or its proprietary database structure is prohibited and may result in permanent termination of the license and legal action, subject to applicable law.

4. User Responsibilities

You are responsible for maintaining the confidentiality of your access credentials and passwords. You agree not to use the software for any unlawful or unauthorized purpose.

You are solely responsible for the accuracy, completeness, and legality of the data entered and processed using the software. You are also responsible for verifying accounting records, invoices, GST calculations, and statutory information before relying on them or submitting them to any authority.

Daily secure data backup is the customer's sole responsibility. You must maintain regular backups of your accounting records and important business data and store backup copies in a safe location.

You are responsible for protecting your computer, operating system, network, and access credentials against unauthorized access, malware, viruses, and other security risks.

5. Data Security

Our accounting software includes a legacy accounting package developed using the Clipper programming language. We aim to provide reliable software operation and maintain appropriate security practices within our operational capabilities.

However, no software or computer system can be guaranteed to be completely secure, error-free, or free from data loss. Customers must maintain regular backups and take appropriate precautions to protect their business and accounting records.

The Developer reserves the right to temporarily suspend software access for scheduled maintenance, server migrations, security measures, or critical updates. Temporary service interruptions may also occur due to internet/network failures, server downtime, hardware problems, operating system reinstallation, system formatting, user configuration errors, improper operation, malware, viruses, or third-party service failures.

External API services, including E-Way Bill, E-Invoice, Master Search, and WhatsApp, depend on the relevant service providers. Their availability and performance are subject to third-party terms, technical conditions, and applicable government regulations.

6. Limitation of Liability

The software is provided on an "AS-IS" and "AS-AVAILABLE" basis. JOSHITECH SOFT CREATION does not guarantee uninterrupted or error-free operation of the software.

To the maximum extent permitted by applicable law, neither the Developer nor the Service Provider shall be liable for losses arising from system downtime, server crashes, internet/network failures, user configuration errors, improper software operation, malware/virus attacks, hardware failures, system formatting, operating system reinstallation, or failure to maintain adequate backups, except where liability cannot lawfully be excluded.

Customers are responsible for maintaining secure backups and retaining independent copies of important accounting records and business data.

Under any circumstances, the maximum financial liability of the Developer for any claim, loss, or damage arising from a specific software installation shall not exceed the exact price paid by the customer for that specific software installation, to the maximum extent permitted by applicable law.

Nothing in these terms excludes or limits any liability, statutory remedy, or consumer right that cannot lawfully be excluded or limited.

7. Updates and Modifications

We reserve the right to update or modify the software, its features, and these Terms and Conditions from time to time, subject to applicable law and any relevant agreement.

Continued use of the software after revised terms take effect may constitute acceptance of the updated terms where permitted by applicable law. Updated terms may be published on our official website or made available through the software dashboard/display interface.

8. Termination

We reserve the right to terminate or suspend your access to the software if you materially violate these terms, misuse the software, engage in unauthorized copying or distribution, or fail to comply with applicable license conditions, subject to applicable law.

The subscription license will automatically deactivate upon expiry of the 1-year (365-day) validity period unless renewed. Customers are responsible for renewing their license promptly to avoid interruption to software access and data display.

Customers should maintain appropriate backups and retain necessary business records before license expiry, termination, system migration, or device replacement. License expiry or termination may restrict access to software functionalities and data displays.

9. Jurisdiction, Digital Consent & Contract

These Terms and Conditions are governed by the laws of India, including the Information Technology Act, 2000, where applicable.

Any disputes, claims, or legal proceedings arising out of this agreement or the use of the software shall be subject to the exclusive jurisdiction of the competent courts at Surat, Gujarat, India, subject to applicable law.

This agreement is intended to constitute an electronic contract under applicable Indian law, including the Information Technology Act, 2000, where the relevant legal requirements are satisfied. Remitting payment, installing or executing the software setup file, activating the software, or logging into the software interface may constitute acceptance of these Terms and Conditions, subject to applicable law and the circumstances of the transaction.

A separate physical or digital signature on the invoice may not be necessary where a valid electronic contract has been formed and the applicable legal requirements have been met. Nothing in this section overrides any mandatory legal requirement or consumer right under applicable law.
